These Terms of Service ("Terms") govern your access to and use of SimpleGrowHQ, a sales commission and performance tracking platform (the "Service"), operated by [Legal Business Entity Name] ("SimpleGrowHQ," "we," "us," or "our"). When you create a workspace, you become the account's Owner. You are responsible for maintaining the security of your login credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use of your account.
If you invite other people to your workspace (Admins, Managers, or Reps), you are responsible for ensuring they comply with these Terms, and for managing what data and permissions they are given inside your workspace.
SimpleGrowHQ stores and processes the business data you and your team enter or upload — including sales records, commission figures, team member names and contact details, and performance targets ("Customer Data"). Customer Data belongs to you. We do not sell it, and we access it only to operate, maintain, and improve the Service, or as you direct (for example, through our Smart Import or AI Assistant features), or as required by law.

SimpleGrowHQ includes AI-powered features (including Smart Import and the AI Assistant) that use third-party AI models to help extract, summarize, or answer questions about your business data. When you use these features, relevant portions of your Customer Data may be sent to our AI service provider to generate a response. We do not permit our AI provider to use your Customer Data to train their models. You are responsible for reviewing AI-generated output (such as imported sales data or commission calculations) for accuracy before relying on it.
Paid plans are billed in advance on a recurring basis (monthly, unless otherwise agreed) through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method for all applicable fees. Prices may change with reasonable advance notice. Except where required by law or expressly stated otherwise, fees are non-refundable.
Free trials, where offered, convert to a paid subscription at the end of the trial period unless you cancel first. You can cancel your subscription at any time from your account settings; cancellation takes effect at the end of your current billing period.

SimpleGrowHQ and its underlying technology, design, and branding are owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets except as necessary to use the Service as intended. You retain all rights to your Customer Data.
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay applicable fees, or if we reasonably believe your use of the Service poses a security or legal risk to us or to other customers. Where practical, we will provide advance notice before termination.
The Service is provided "as is" and "as available." We do not guarantee that the Service will be uninterrupted, error-free, or that commission calculations, AI-extracted data, or performance metrics generated through the Service will be fully accurate — you remain responsible for verifying figures used for payroll, commission payouts, or other business-critical decisions.
To the maximum extent permitted by law, SimpleGrowHQ and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months preceding the claim.
You agree to defend and indemnify us against any claims, damages, or expenses arising from your misuse of the Service, your violation of these Terms, or Customer Data you upload that infringes the rights of a third party.
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (such as an email or an in-app notice) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
